Terms of Service
The terms that govern your access to and use of Continum's products and services.
1. Agreement
These Terms of Service ("Terms") form a binding agreement between you (the customer, whether an individual or an entity) and Continum ("Continum", "we", "us", or "our"). By accessing or using our websites, Shadow Audit API, Aegis Sandbox, SDKs, or dashboards (together, the "Services"), you agree to be bound by these Terms.
2. Services and responsibilities
Continum provides a stateless Compliance Intelligence layer designed to monitor AI systems for regulatory and policy compliance without adding latency or persisting raw prompt data.
- You remain responsible for your underlying AI systems, infrastructure, and end-user applications.
- You configure your Aegis Sandbox and compliance rules (for example, which regulations to target, which risk thresholds to apply, and what types of payloads may be mirrored).
- We provide the Services with reasonable skill and care and will use commercially reasonable efforts to maintain availability, subject to planned maintenance and events outside our control.
3. Account and access
To use the Services, you may need to create an account and obtain API keys for one or more Aegis Sandboxes.
- You must keep credentials and API keys confidential and secure.
- You are responsible for all use of the Services under your account, including by your employees, contractors, and end users.
- You will promptly notify us if you suspect any unauthorized access or compromise of your credentials.
4. Acceptable use
You agree not to use the Services in a manner that violates applicable law, third party rights, or these Terms. In particular, you must not:
- Use the Services to build or train models whose primary purpose is unlawful surveillance, discrimination, or exploitation.
- Attempt to circumvent or interfere with our security, metering, or abuse prevention systems.
- Send to the Services any data that you are not legally permitted to process or to share with us under applicable data protection laws or internal policies.
5. Data handling
Our Services are designed to minimize data retention, but you remain the controller of any personal data contained in mirrored payloads. Continum acts as a processor (or sub-processor) for such data.
- Shadow Audit payloads are processed in volatile memory and are not persisted by default.
- We may store derived violation metadata and logs necessary to provide dashboards, rate limiting, and compliance reports.
- Additional data protection terms (for example, a Data Processing Addendum) may apply and will prevail where there is a conflict with these Terms.
6. Intellectual property
Continum and its licensors own all rights, title, and interest in and to the Services, including all software, documentation, and associated intellectual property.
- You retain all rights in your own models, prompts, datasets, and applications.
- You grant us a limited license to process mirrored payloads and derived metadata solely to provide the Services and improve their performance and security.
- You may not reverse engineer, decompile, or attempt to derive source code from the Services except where permitted by law.
7. Service levels and changes
We may update or modify the Services from time to time, including to improve performance, address security issues, or add new features.
Where you have a paid plan with specific service levels or commitments, those will be described in a separate order form or agreement. In case of conflict, that agreement will prevail.
8. Disclaimers
The Services are provided "as is" and "as available" to the maximum extent permitted by law. We do not guarantee that use of the Services will ensure compliance with any particular law, regulation, or standard.
You are responsible for obtaining your own legal and compliance advice and for ensuring your AI systems meet the requirements applicable to your industry and jurisdiction.
9. Limitation of liability
To the fullest extent permitted by law, neither party will be liable for any indirect, incidental, consequential, or punitive damages, or for lost profits or revenues, arising out of or relating to these Terms or the use of the Services.
Each party's aggregate liability for direct damages arising from or relating to the Services will be limited to the amounts paid or payable for the Services in the twelve (12) months preceding the event giving rise to the claim, unless a different cap is agreed in writing.
10. Term and termination
These Terms apply for as long as you access or use the Services. Either party may terminate use of the Services at any time, subject to any minimum term agreed in an order form or subscription agreement.
Upon termination, your access to the Services and API keys may be disabled. Sections that by their nature should survive (including payment obligations, IP ownership, disclaimers, and limitations of liability) will continue to apply.
11. Governing law and disputes
Unless otherwise agreed in writing, these Terms will be governed by the laws of the jurisdiction in which Continum is incorporated, without regard to conflict of law principles. Any disputes will be resolved by the courts of that jurisdiction.
12. Changes to these Terms
We may update these Terms from time to time. When we make material changes, we will update the effective date and, where appropriate, provide additional notice. Your continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
